BOARD OF DIRECTORS

The Board of Directors of LOG Commercial Properties is responsible for defining the strategic policies of the Company in general and, among other attributions, for establishing its general business policies and for electing its Executive Officers and for supervising their management.

The Board of Directors meets once every three months and, extraordinarily, whenever convened by its Chairman or any of its members.

In accordance with Brazilian Corporate Law, the Board of Directors shall consist of at least 3 board members elected at the General Assembly, each of whom may be shareholders or not. The Bylaws of LOG Commercial Properties, notwithstanding, determines that the Board of Directors may be composed of up to 7 members, whose mandates will be unified and will last for 1 year from the date of election and they may be reelected.

Chairman of the Board of Directors of LOG Commercial Properties, graduated in Civil Engineering from the Federal University of Minas Gerais in 1978, founding partner of MRV group and its chief executive, now occupying the position of Chairman of the Board of Directors of MRV Engenharia e Participações SA. He is a founding partner of Bank Intermedium and Chairman of its Board of Directors since the Company's establishment in 1994.

Graduated in law from Milton Campos Faculty of Law in 1981. He is a founding partner of Construtora Becker Cabaleiro in 1977, and the Company CVG in 1986. He was the Vice-President of the Real Estate Market Chamber of Belo Horizonte in relation to the Construction Companies and the Union of Civil Construction from 1999 to 2002. He is a founding partner and member of the Board of Directors of Intermedium since the company was established in 1994. He is a member of the Board of Directors of MRV Engenharia e Participações SA and CEO of LOG Commercial Properties.

He was treasury manager at Lloyds Bank from 1982 to 1990 and Treasurer of JP Morgan from 1990 to 2000. Former partner of Banco Pactual (2000-2003) and Perfin Asset Management (2003-2006). He is the Chief Financial Officer of MRV Engenharia e Participações SA since 2006.

He is a Shareholder and CEO of Patrus Urgent Transport, a leading company in the logistics sector in Brazil, with more than 1,700 employees and a fleet of 2,100 vehicles, covering nine states in the South, Southeast and Northeast. He has over 25 years of experience in the logistics sector, as well as being a member of various industry associations.

He has been responsible, in the last 20 years, for the structuring of more than 400 investment transactions totaling more than US$ 40 billion in assets. He was the founder and President of Starwood Hotels & Resorts Worldwide, the company which is now one of the world's largest hotel companies with 800 properties in 80 countries employing over 115,000 people. He is graduated from Brown University and has an MBA degree from Harvard Business School.

Graduated in Business Administration from the Portuguese Catholic University in 1988 and an MBA degree from Columbia Business School in 1995. He was Managing Director responsible for the finance corporate area of BESI Brazil from 2001 to 2006 and Associate and Vice President of M & A at JP Morgan from 1995 to 2001 in New York and Sao Paulo. He was responsible for proprietary activity of Banco Espirito Santo Private Equity in Brazil between 2007 and 2010 and is responsible for 2BCapital since 2010. He is currently responsible for Bradesco Private Equity. In addition to LOG, he participates in the Boards of Directors of the following companies: Aramis, Smartia and Brennand Cimentos.

EXECUTIVE OFFICERS

The Executive Officers of LOG Commercial Properties are responsible for its daily management. They have individual responsibilities established by the Bylaws of the Company and its Board of Directors.

In accordance with the Bylaws of LOG Commercial Properties, the board may have up to three officers elected by the Board of Directors for a term in office of one year, reelection is permitted. Any officer may be removed by the Board at any time before the expiration of his/her term in office.

Graduated in civil engineering at the Federal University of Minas Gerais (2002), with a postgraduate degree in Finance from Fundação Dom Cabral (2004). He worked in MRV from 1997 to 2004, in the Engineering and Supply Department. After that, he became Vice President of MIC Corporation, responsible for the development of commercial, industrial and residential projects in Florida, USA.

From 2002 to 2007 he worked at Ernst & Young in Brazil and from 2007 to 2009 he worked at Ernst & Young in London. In 2010 he joined MRV Engenharia as Executive Manager of Investor Relations and in 2011 was transferred to LOG Commercial Properties

FISCAL COUNCIL

Pursuant to the Brazilian Corporate law, the Fiscal Council is an independent management body from the Company and external auditors. The Fiscal Council may be permanent or non-permanent, in which case it will act during a specific fiscal year when installed at the request of shareholders in the manner and conditions prescribed by law.

The main responsibilities of the Fiscal Council are to audit the management of the Company, review the financial statements of the Company and report its findings to the shareholders. The Brazilian Corporate Law requires Fiscal Council members to receive compensation of at least 10% of the average annual amount paid to directors of the Board. Brazilian Corporate Law also requires that the Fiscal Council should be composed of at least three and at most five members and their alternates.

The Bylaws of LOG Commercial Properties provides for a non-permanent Fiscal Council, composed of up to three members, elected only at the request of the shareholders of the Company in the general assembly. Currently, LOG Commercial Properties has no Fiscal Council installed.

COMMITTEE

The Board of Directors of LOG Commercial Properties established in the meeting held on October 4th 2011 three internal committees of support. The committees have the purpose of advising and proposing solutions to increase the effectiveness of their decisions. They are: Investment Committee, Finance Committee, Management and Advisory Committee
